Vacancy Description

Position –  Assistant Company Secretary/Governance Manager
Duration – Cover due to long-term sickness, can’t confirm exact duration but likely minimum 1 month up to 4 months. Potential to go perm depending on the return of the absent employee
Location –  Portsmouth
Hours –  Up to 37 (part-time may be considered, please specify what hours/days you can commit to)
Hourly rate -  £20 per hour

Dynamite Recruitment are working alongside a well known, locally recognised company with offices across Hampshire who are looking for an experienced Secretary / Governance Manager to join their Portsmouth office on a temporary basis
 
We are looking for somebody with experience in an assistance company secretary/governance manager position with good working knowledge of risk management and compliance. Experienced minute-taker, highly organised, would be ideal if ICSA qualified, or equivalent.

Duties include:

 

  • Provide advice to the Boards and Committees on matters relating to the board constitution, rules, other governing documents and board processes
  • Supporting board members with meeting arrangements, agendas, reports, minutes, and matters arising from meetings
  • Support the introduction and day to day management of the Board paper and support infrastructure
  • Maintain statutory and regulatory registers including signing & sealings, interests, gifts & hospitality, shareholders and assisting the Company Secretary with annual returns
  • Assist with recruitment, induction, appraisal and development planning of Board Members.
  • Maintain board member records & provide administrative support for Board members

Qualifications needed:

 

 

  • Degree level education
  • ICSA or equivalent professional qualification
  • Evidence of continuing professional development (if ICSA qualified)

Essential Experience required

 

 

  • Proven experience and understanding of the role of Company Secretary
  • Experience of working with non-executive directors
  • Experience of governance within a non –profit, charitable or regulated sector
  • Understanding of the importance of risk management, compliance and assurance issues
